1. Acceptance of Terms

By accessing or using the DugIt platform, including our web application, mobile application, and API (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a business, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not access or use the Service. We reserve the right to refuse service to anyone for any reason at any time.

2. Description of Service

DugIt is an AI-powered operations platform designed for high-liability trade businesses, including septic, HVAC, and electrical services. The Service provides:

  • Job management, scheduling, and dispatch tools.
  • GPS-verified, timestamped evidence collection (photos, voice recordings, checklists).
  • AI-powered voice transcription and job note generation.
  • Multi-option quote generation and customer approval workflows.
  • Payment processing through Stripe Connect.
  • Dispute defense and evidence packaging.
  • Customer portal for booking, quote approval, and payment.
  • Job costing, reporting, and business analytics.

3. User Accounts and Responsibilities

To use the Service, you must create an account. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account.
  • Notifying us immediately at support@dugit.com if you suspect unauthorized access to your account.
  • Ensuring that team members you invite comply with these Terms. Account owners are responsible for the actions of their team members.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations.
  • Upload false or misleading evidence, including manipulated photos, fabricated GPS data, or fraudulent job records.
  • Attempt to reverse-engineer, decompile, or extract source code from the Service.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Impersonate another person or entity, or falsely represent your affiliation with any person or entity.
  • Use the Service to harass, abuse, or harm another person, or to collect personal information about others without their consent.
  • Resell, sublicense, or provide access to the Service to third parties without our prior written consent.

We reserve the right to suspend or terminate accounts that violate these guidelines without prior notice.

5. Payment Terms

Subscription Fees

Access to the Service may require a paid subscription. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law or as described below.

Payment Processing

Customer payments are processed through Stripe Connect. By using our payment features, you agree to Stripe's Connected Account Agreement and Privacy Policy. Stripe's standard processing fees apply.

Refunds

Refunds for customer payments are handled between you and your customers. DugIt is not responsible for refunds on payments processed through your Stripe Connect account. For subscription refunds, contact us within 14 days of a billing charge if you believe the charge was made in error.

6. Evidence and Data

GPS Verification

The Service records GPS coordinates to verify technician presence at job sites. While we take reasonable steps to ensure accuracy, GPS data may be affected by device limitations, signal conditions, or environmental factors. DugIt does not guarantee the absolute accuracy of GPS data.

Photo and Voice Evidence

Photos and voice recordings uploaded through the Service are stored securely in AWS S3 and associated with job records. You are responsible for ensuring that you have appropriate consent to photograph or record at job sites in accordance with applicable laws.

AI Validation Disclaimer

The Service uses artificial intelligence to transcribe voice recordings, generate job summaries, and provide operational recommendations. AI-generated content is provided as-is and may contain errors or inaccuracies. You are responsible for reviewing and verifying AI-generated output before relying on it for business decisions, customer communications, or dispute defense. DugIt is not liable for decisions made based on AI-generated content.

7. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by DugIt and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.

You retain ownership of all content you upload to the Service (photos, voice recordings, job data). By uploading content, you grant DugIt a non-exclusive, worldwide license to store, process, and display that content as necessary to provide the Service. This license terminates when you delete the content or close your account, subject to our data retention obligations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUGIT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO DUGIT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action. You waive any right to participate in a class action lawsuit or class-wide arbitration against DugIt.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

10. Termination

You may terminate your account at any time by contacting us at support@dugit.com or through your account settings. Upon termination:

  • Your access to the Service will be revoked immediately.
  • Your data will be retained in accordance with our Privacy Policy retention schedule (e.g., evidence data for 3 years, payment records for 7 years).
  • Outstanding subscription fees are non-refundable for the current billing period.

We may suspend or terminate your account if you violate these Terms, fail to pay applicable fees, or if we determine that your use of the Service poses a risk to other users or our infrastructure.

11. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you via email or an in-app notification at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Service and close your account before the changes take effect.
